This Site and the registered trademark “HBX Group” (hereinafter “HBX Group”) are owned and operated by Hotelbeds Spain, S.L.U., a legally constituted Spanish company which operates as a wholesale-retail travel agency, based in Palma de Mallorca (Spain), Cami de Son Fangos No. 100, Complejo Mirall Balear, Tower A, 5th floor, 6A-7A, 07007, with license number C.I. BAL-429, tax identification code No. B-28916765 and registered in the Mercantile Register of Palma de Mallorca on 28 March 1984, page PM-38224, volume 1825, sheet 217.

The domain name through which you have accessed this site is owned by HBX Group.

This domain name will not be used in connection with other contents, products or services which are not owned by HBX Group, or in any way which can lead to confusion or to discredit HBX Group.

This Legal Notice

This Legal Notice regulates the access, browsing and use of the website located at www.hbxgroup.com ("Site"), and by means of which we inform you of your rights and obligations in relation to the contents shown on it, the logos and brands used, as well as the responsibilities that may arise from its use.

By accessing, browsing or otherwise using the Site (“Access”), you accept this Legal Notice and agree to comply with it. If you do not agree to this Legal Notice, you must not use the Site,

HBX Group offers accommodation and destination services all around the world to HBX Group business clients (i.e., OTAs, Tour Operators, Travel Distributors, and other partners (“B2B Clients”)) for their distribution to end consumers subject to established contract conditions, general conditions, commercial terms, applicable laws and regulations and other factors. HBX Group solely operates under a business-to-business framework, and therefore, does not sell products directly to final consumers.

HBX Group operates globally through various entities (“HBX Group Trading Entities”), and the details and relevant information of each HBX Group Trading Entity are set out in the table below. HBX Group Trading Entities strive for compliance and adherence to the respective local laws and regulations that may be relevant to its relationship with B2B Clients, whenever applicable.

Additional terms that may apply to you

This Legal Notice refers to the following additional terms and conditions, which also apply to your use of the Site:

• Privacy Policy, which sets out how we will use your personal information;

• Cookie Policy, which sets out information about the cookies on the Site; and

• If you make bookings on the Site, the Booking Terms and Conditions will be presented to you when log in to your account.

You must keep your account details safe

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of this Legal Notice.

If you know or suspect that anyone other than you know your user identification code or password, you must promptly notify us using the contact details set out below.

Contact

Any inquiry, suggestions, complaints and any other communication may be addressed centrally to HBX Group.

HBX Group will contact you using the contact information provided by you. You therefore expressly accept the use of the email address provided as a valid means for the exchange of information between HBX Group and you.

Transaction Guidelines

1) Order Phase

In order to make a booking, you may search for hotels, transfers, experiences, car rental and theme parks in different countries through the search bar. HBX Group’s partners may filter their search by specifying information on request. HBX Group’s partners may further search for hotels both through list view and map view. Once HBX Group’s partners decide on the order, they may add them to the cart to proceed to check out.

2) Payment Phase

Once HBX Group’s partners add the order to their cart, HBX Group’s partners have thirty (30) minutes to complete the transaction. HBX Group’s partners may click "checkout" to proceed with the transaction.

Once HBX Group’s partners see the checkout page, they may review the order details and specific information on cancellation policies. HBX Group’s partners have to provide the necessary information such as their contact details and any additional requests to complete the booking.

Finally, HBX Group’s partners may complete the booking by entering their credit card details for the payment to be processed.

3) Approval of the Transaction

Once the payment is processed, HBX Group will send a booking confirmation e-mail containing the voucher and invoice.

HBX Group’s partners may always access their bookings under "My Bookings" page.

4) Modifications to Order Information

HBX Group’s partners may update the information on their booking or cancelling bookings, subject to cancellation policies and to applicable laws.

HBX Group’s partners may always reach out to HBX Group’s support team via "Support" page for any queries and requests.

Ownership

We are the owner or the licensee of all materials and content on this Site, including, but not limited to, software, logos, trademarks, graphics, text, designs, compilations of data, reports, photographs, images, maps(“Materials”). The Materials are protected by international copyright law and treaties around the world. All rights reserves.

You must not copy, reproduce, store, transmit, distribute, borrow cache, modify, sell, make derivative works, use any part of the content on the Site for commercial purposes or otherwise use the information without the express written consent of HBX Group.

Access shall only be construed to grant a non-exclusive right of use, within a strictly domestic context and solely for the purpose of browsing the Site in accordance with this Legal Notice.

Products, services, domain, and company names mentioned herein – including, with no limitation, HBX GROUP, BEDSONLINE, HOTELBEDS, and ROIBACK - may be the trademarks of their respective owners which you are not permitted to use without our approval.

No text or data mining, or web scraping

You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to the Site or any services provided via, or in relation to, the Site. This includes using (or permitting, authorising or attempting the use of):

• any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the Site or any data, content, information or services accessed via the same; or

• any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 2019/790).

This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.

Site terms of use

Access to the Site for illegal or unauthorized purposes, with or without economic purpose, is not permitted and, therefore, the consequences thereof shall be your sole responsibility. In particular, and without limitation, it is forbidden to:

• use the Site in any way that may cause damage, interruptions, inefficiencies or defects in its operation or in third party devices;

• attack the Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

• use the Site to transmit material for advertising or promotional purposes, including spam, chain letters or similar;

• use the Site in a manner that constitutes an infringement of the rights of HBX Group or any third party;

• use the Site to transmit or publish any material of a defamatory, offensive, racist, vulgar, denigrating, pornographic, obscene or threatening nature or that may annoy or harm or merely affect any person;

• use the Site to collect personal data of other users;

• use the Site in an illegal manner, against good faith, morality and/or public order;

• perform unauthorized access to any section of the Site, to other systems or networks connected to it, to any HBX Group server or to the services offered through the Site by means of hacking or forgery, password extraction or any other illegitimate means;

• carry out any action that causes a disproportionate or unnecessary saturation in the infrastructure of the Site or in the systems or networks of HBX Group, as well as in the systems and networks connected to the Site itself.

Failure to comply with any of the above obligations on your part may lead to the adoption by HBX Group of appropriate measures protected by law in the exercise of its rights or obligations.

We are not responsible for viruses

We do not guarantee that the Site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access the Site. You should use your own virus protection software.

Rules about linking tothe Site

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to the Site in any website that is not owned by you.

The Site must not be framed on any other Site, nor may you create a link to any part of the Site other than the home page.

We reserve the right to withdraw linking permission without notice.

Warranty disclaimer and limitation of liability

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

Different limitations and exclusions of liability will apply to liability arising as a result of any services supplied to you on this Site which will be set out in the Terms and Conditions of the Booking.

We exclude all implied conditions, warranties, representations or other terms that may apply to the Site or any content on it.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

• use of, or inability to use, the Site; or

• use of or reliance on any content displayed on the Site.

In particular, we will not be liable for:

• loss of profits, sales, business, or revenue;

• business interruption;

• loss of anticipated savings;

• loss of business opportunity, goodwill or reputation; or

• any indirect or consequential loss or damage.

RESPONSE TO VIOLATIONS

HBX Group reserves the right to take any action we determine is necessary if HBX Group believes that your use of the Site violates any terms included herein, infringes the rights of any person or entity, threatens the personal safety of any person or entity, is a prohibited use, or could create liability for HBX Group.Any such action by HBX Group does not limit HBX Group rights or remedies at law or in equity.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless HBX Group, its affiliates and their officers, directors, employees, agents, affiliates, successors and assigns from and against any and all claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees resulting from your: (a) breach of the terms of this Legal Notice; and/or (b) violation of any law or the rights of a third party.

HBX Group does not endorse the contents of these other sites. HBX Group does not control such third-party websites and is not responsible for their content. HBX Group does not have the knowledge or human and technical means to control or approve all the information, contents, products or services provided in other websites to which it offers a link through its Site. Consequently, HBX Group will not take any responsibility for any aspect relating to these websites linked to through the Site, in particular on its functioning, access, data, information, files, quality and reliability of its products and services, its own links and or any of their contents in general.

Pursuant to the above, HBX Group shall not be liable for the accuracy, completeness or updating of the information published on the Site from external sources, nor for the information contained in other platforms to which links are made from the Site.

Modification

1. HBX Groupmay modify this Legal Notice, at any time, by posting conspicuous notice on this Site at least thirty (30) days before any modification becomes effective. Continued use of this Site, following the posting of conspicuous notice of any modification, will be considered acceptance of the modified Legal Notices. Every time you wish to use the Site, please check this Legal Notice to ensure you understand the terms that apply at that time.

We may update and change the Site from time to time to reflect changes in law, to our offerings, our users' needs and our business priorities.

We may suspend or withdrawthe Site

The Site is made available free of charge. We do not guarantee that the Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

Severability

Where any or part of this Legal Notices is deemed to be invalid, void, illegal or unenforceable, the legality, validity and enforceability of the remaining parts of this Legal Notice shall not be affected or impaired thereby and shall continue in force as if such invalid, void, illegal or unenforceable part of this Legal Notice was severed from this Legal Notice.

We may transfer this agreement to someone else

We may transfer our rights and obligations under this Legal notice to another organisation. We will ensure that the transfer will not affect your rights under this Legal Notice.

Safeguard

All of the clauses of this Legal Notice must be interpreted independently, and the rest of the clauses will not be affected in the event that one of them has been declared null and void by a court ruling or final arbitration decision. The affected clause or clauses shall be replaced by another or others that preserve the effects pursued by this Legal Notice.

HBX Group is committed to ensuring the accessibility of its website in accordance with the provisions of Directive (EU) 2019/882 of the European Parliament and of the Council of 17 April 2019 on the accessibility requirements for products and services, also known as the European Accessibility Act.

You agree that any idea or suggestion provided by you (“Feedback”) will not be treated as confidential, and nothing in this Legal Notice will restrict HBX Group’s right to use, profit from, disclose, publish, keep secret, or otherwise exploit Feedback without compensating or crediting you.

Applicable law and jurisdiction

This Legal Notice, its subject matter and its formation (and any non-contractual disputes or claims) are governed by Spanish law. We both agree to the exclusive jurisdiction of the courts of Palma de Mallorca, Spain.
